Portal Agreement

In consideration for Manitou Group granting access to and use of the Manitou Dealer Information Center website (“Portal”) to the below-listed dealer, its officers and employees (“Dealer”) hereby agree:

1. The Portal and the information and documents it contains will be used only to assist Dealer in the sale and service of Manitou products and services;
2. Access to and use of the Portal will be restricted to current Dealer employees;
3. No employees or agents of other equipment manufacturers or dealers will be allowed to access or use the Portal;
4. Dealer is responsible to assign user profiles and permissions to its officers and employees, to control access to the Portal sections as appropriate for each officer’s and employee’s responsibilities, and to keep user profiles and permissions up-to-date;
5. Dealer is responsible for any damages caused by the intentional improper use or misuse of the Portal by its officers and employees, including former employees, and agrees to indemnify Manitou for any such damages;
6. Dealer will not download copyrighted material from the Portal and provide it to persons other than Dealer employees without prior written permission from Manitou;
7. Dealer will not use the On-line Warranty Claim feature of the Portal to obtain contract information of other dealer’s customers for sales or other promotional purposes;
8. Personnal datas will be processed by Manitou in accordance with the purpose defined within the General Conditions of Access and Use of the Portal (US version / European and other countries version).
9. Manitou retains the right at its own sole discretion to restrict access and use of the Portal in the event of misuse or unauthorized use.
